PECMI FESTIVAL AMENDMENT

AMENDMENT TO MASTER VENDOR AGREEMENT

ONTARIO CHEESE FESTIVAL

This Amendment (“Amendment”) is made pursuant to and forms part of the Master Vendor Agreement (“Master Agreement”) between Prince Edward County Markets Inc. (PECMI) (“Organizer”) and the undersigned Vendor.

This Amendment applies exclusively to the Ontario Cheese Festival (“Event”) and supersedes any conflicting provisions within the Master Agreement solely for the duration and scope of this Event.

Booth Operation Requirements

To maintain a vibrant and consistent marketplace environment, Vendors agree to operate their booth for the full duration of the public hours (Saturday, October 17th, 2026 10:00 AM – 5:00 PM). Failure to remain open and staffed during these hours may result in penalties as outlined in the Master Agreement.

2. Setup & Teardown Schedule

Vendors must adhere to the setup and teardown schedule as directed by PECMI. Early teardown is strictly prohibited unless expressly authorized by PECMI in writing.

Vendor booth spaces will be clearly marked to define the Market Area, ensuring a safe and organized environment for all participants.

A Vendor Call will be scheduled prior to the Event to review logistics, procedures, and expectations. Attendance by the Vendor or a designated representative is strongly encouraged. Invitations will be issued via email.

3. Vendor Space & Pricing

Upon the conclusion of the Seasonal Outdoor Horse Racing program, The Elora Grand Race Way converts its barn facility into dedicated event space for festival use.

The barn undergoes a full sanitation process, and all interior stall walls are removed to create an open-concept layout. Permanent metal spacers remain in place, providing each vendor with a defined booth space measuring 7 feet by 12 feet.

The following fees apply for vendor participation:

Although the venue has increased its rates for 2026, we have intentionally kept vendor fees at last year’s rate to ensure the Festival remains accessible and affordable for our vendor community.

4. Payment & Cancellation Terms

4.1 Payment Terms & Deadlines

Payment Due Upon Invoicing: Full payment is required to confirm your vendor space. Marketing and promotional activities, including website listings and social media features, will commence once your payment has been processed.
Payment Method: Payments must be made in full by Electronic Money Transfer (EMT) to info@countymarkets.ca. Spaces are not reserved or guaranteed until full payment is received.
Failure to Pay:  If full payment is not received by October 1, 2026, the application will be cancelled, the booth space will be forfeited, and any partial payments made to date will be non-refundable.

4.2 Cancellation & Refund Policy

All cancellations must be submitted via email to vendors@ops.pecmi.ca and are subject to the following schedule:

On or before October 1: Full refund of fees paid, less a $100 non-refundable administrative fee.
After October 2nd: No refunds will be issued.

5. Vendor Insurance Requirements

All Vendors must carry appropriate insurance coverage for participation in the Event. Vendors are required to name the following as Additional Insured on their policy:

5.1 Minimum Liability Coverage

Alcohol Vendors	$5 Million
Food & Non‑Alcohol Beverage Vendors	$2 Million
All Other Vendors	$1 Million

Proof of insurance must be submitted no later than two (2) weeks prior to the Event.

6. Health & Safety Compliance

6.1 General Compliance

All Vendors must comply with applicable public health, safety, and sanitation regulations, as well as any directives issued by PECMI, the venue, or local authorities.

6.2 Food Vendors

Vendors preparing, sampling, or selling food—whether onsite or offsite—must ensure all required documentation is current, accurate, and submitted in accordance with regulatory timelines.

This includes, but is not limited to, the mandatory Public Health Notification Form.

PECMI reserves the right to request proof of compliance at any time. Vendors must have all required documentation available onsite during festival operation.

7. Incorporation Into Master Agreement

Except as expressly modified by this Amendment, all terms and conditions of the Master Vendor Agreement remain in full force and effect.

In the event of a conflict between this Amendment and the Master Agreement, the terms of this Amendment shall govern solely with respect to the Ontario Cheese Festival.
