VENDOR AGREEMENT – MASTER FRAMEWORK

1. Mission & Purpose 📜

Prince Edward County Markets Inc. (“PECMI”) elevates Canada’s small business artisans through premium food and beverage festivals, curated markets, and community‑driven experiences across Ontario. Our events celebrate craftsmanship, builds meaningful connections, and offer guests boutique‑quality culinary and artisan experiences.

This Master Framework governs all vendor participation across PECMI events. Event‑specific requirements will be outlined in the corresponding Event Amendment, which forms an integral part of this Agreement.

2. Festival Format & Vendor Expectations 🎪

PECMI events operate under a Try & Buy model. Vendors are expected to support guest engagement through sampling:

  • Food vendors: Complimentary samples encouraged
  • Alcohol vendors: 1–2 oz sample pours, compliant with AGCO regulations

Vendors acknowledge that sampling increases guest interaction and may positively impact sales.

PECMI retains the exclusive right to modify, amend, or adjust vendor pricing as necessary to reflect changes in venue fees, production expenses, staffing requirements, regulatory compliance costs, or other operational considerations. PECMI will provide written notice of any pricing adjustments within a reasonable timeframe.

4. Vendor Responsibilities & Guidelines 📝


4.1 General Responsibilities

Vendors agree to:

  • Supply their own tables, chairs, décor, and merchandise
  • Obtain pre‑approval for any additional products not listed in their application
  • Understand that PECMI does not guarantee exclusivity
  • Use electricity only as permitted (limited availability)

Food trucks must contact PECMI to review applicable municipal bylaws.‑laws.

Vendors acknowledge that sampling increases guest interaction and may positively impact sales.

5. Venue Respect & Market Area Setup 🏛️

Vendors must:

  • Arrive on time and complete setup before opening
  • Follow setup/teardown timelines outlined in the Event Amendment
  • Attend the pre-event Vendor Call (strongly encouraged) event ‑event
  • Maintain their booth in a clean, safe, and professional manner
  • Follow teardown guidelines including disposal of all garbage/recyclable materials

6. Booth Operations & Attendance 🕒

Vendors must:

  • Keep booths open and staffed for the full duration of the event
  • Avoid early teardown (strictly prohibited)
  • Bring sufficient product for multi-day events
  • Maintain appropriate insurance coverage

7. Public Health Compliance ⚕️


7.1 Documentation Requirements

  • A valid Public Health Certificate of Inspection must be submitted no later than two weeks prior to the event
  • Failure to provide required documentation may result in refusal of entry; fees are nonrefundable ‑refundable


7.2 Food Safety Requirements

  • Proper storage, temperature control, and contamination prevention
  • Functional handwashing station where food/beverages are handled
  • Compliance with all Public Health Inspector directives

8. Alcohol Sampling & Safety (Where Applicable) 🍷

Alchohol vendors must:

  • Comply with all AGCO regulations
  • Hold valid Smart Serve certification
  • Submit required Temporary Extension documentation as outlined in the Event Amendment – attaching to the PECMI Markets SOP Contract
  • Follow responsible service guidelines

9. Communication Protocol 📧

All nonemergency issues must be communicated via email to ensure proper documentation‑emergency issues must be communicated.

10. Professional Conduct 🤝

  • Vendors must conduct themselves respectfully toward all vendors, staff, volunteers, and service providers.
  • One written warning will be issued before removal for misconduct.
  • PECMI enforces all Human Rights standards.

11. Authority of Market Management ⚖️

  • The Market Manager may, with cause, request any vendor or individual to leave the Market Area.
  • Law enforcement may be contacted if necessary.

12. Insurance Requirements 🛡️

All vendors must carry appropriate insurance coverage and name PEC Markets (4 Lake St., Picton) as an additional insured. Documentation must be submitted no later than two weeks before the event.

13. Waste Management & Sustainability ♻️

PECMI provides garbage and recycling bins. Vendors must:

  • Manage and remove all waste from their booth
  • Break down cardboard and place it in recycling
  • Minimize single‑use plastics
  • Use recyclable or reusable packaging where possible

14. Conduct & Safety 🚫

  • Drinking, smoking, and vaping are prohibited in the Market Area
  • Alcohol vendors must hold a valid AGCO Manufacturer’s License and operate under PECMI’s Festival SOP
  • Temporary Extension Endorsements must be submitted two weeks prior to the event

15. Booth Allocation & Market Management 📍

  • Booth placements are assigned to optimize flow and vendor groupings
  • PECMI may adjust placements as needed

16. Marketing Requirements 📣

  • PECMI invests heavily in marketing
  • Vendor participation in promotional efforts (posting, tagging, sharing) is strongly encouraged
  • Marketing assets (logos, photography, templates) are available for vendor use

17. Payment Terms 💳

  • EMT to info@countymarkets.ca
  • Payment due upon Invoicing
    • Withdrawal 20 days prior → 50% refund
    • Withdrawal 10 days prior → no refund
    • Failure to pay 10 days prior → forfeiture of booth and inability for the vendor to participate in the event

18. Agreement & Acceptance ✍️

By submitting the Vendor Application, the Vendor acknowledges and agrees to the terms of this Master Agreement / Framework and the applicable Event Amendment
